TERMS OF SERVICE
Automate KC LLC
Last Updated: 03/23/2026These Terms of Service (“Terms”) govern access to and use of the Home Base platform (“Service”) provided by Automate KC LLC (“Company,” “we,” “us,” or “our”). By accessing or using the Service, the Partner (“Partner,” “Customer,” “Reseller”) agrees to these Terms.
If you do not agree to these Terms, you may not use the Service.
1. Overview of the Service
Home Base is an internal workflow system that enables authorized employees of the Partner’s clients (“End Users”) to submit operational updates through a guided voice‑based interface. The Service converts employee input into structured data, validates it through a strict logic layer, and updates the End User’s designated CRM or system of record.Automate KC LLC provides the Service exclusively to the Partner.
The Partner may provide access to End Users under its own commercial terms.Automate KC LLC has no contractual, financial, or support relationship with End Users.
2. Relationship Between Automate KC LLC and the Partner
The Partner is the direct provider of the Service to End Users.
Automate KC LLC does not interact with, support, or contract with End Users.
The Partner is solely responsible for onboarding, managing, and supporting End Users unless otherwise agreed in writing.
The Partner must ensure End Users comply with all flow‑down obligations contained in these Terms.
End Users’ actions are treated as actions of the Partner.
3. Partner Responsibilities
The Partner agrees to:3.1 End User Management
Ensure End Users use the Service in accordance with these Terms
Provide accurate information when configuring tenant access
Maintain confidentiality of tenant identifiers and access credentials
Ensure End User submissions are truthful, lawful, and appropriate
3.2 Billing & Commercial Terms
Handle all billing, pricing, and financial relationships with End Users
Resolve all disputes with End Users
Ensure Automate KC LLC is not involved in End User billing issues
3.3 Support
Provide first‑line support to End Users unless otherwise agreed
Ensure End Users do not contact Automate KC LLC directly for support
3.4 Compliance
Ensure End Users comply with all applicable laws
Ensure End Users do not misuse or abuse the Service
The Partner is responsible for all activity conducted by its End Users.
4. Prohibited Use
Neither the Partner nor End Users may:Attempt to bypass, disable, or interfere with the validation logic layer
Submit fraudulent, harmful, or misleading information
Reverse engineer, decompile, or attempt to extract the underlying logic
Use the Service for any unlawful purpose
Access or attempt to access another Partner’s or End User’s data
Introduce malware, scripts, or automated tools into the system
Expose, disclose, or attempt to map any part of the Service’s infrastructure
Represent themselves as Automate KC LLC or make commitments on our behalf
Violation may result in immediate suspension.
5. Data Handling and Processing
The Service processes End User operational data solely for the purpose of:Structuring the information
Validating it through the logic layer
Updating the End User’s CRM or system of record
Data handling practices are further described in the Privacy Policy and Data Processing Addendum (DPA), which form part of these Terms.
Automate KC LLC does not claim ownership of Partner or End User data.
6. Service Availability
The Service is provided on a commercially reasonable basis.
We do not guarantee uninterrupted or error‑free operation.Any uptime commitments or support response times are defined in the Partner’s Service Level Agreement (SLA), if applicable.
7. Modifications to the Service
We may update, modify, or improve the Service at any time.
Material changes that affect functionality will be communicated to the Partner.8. Fees and Billing
Automate KC LLC bills the Partner directly.
The Partner bills End Users independently.
Automate KC LLC is not responsible for End User billing disputes.
Failure to pay may result in suspension or termination of access.
9. Intellectual Property
Automate KC LLC retains all rights, title, and interest in:The Home Base platform
The validation logic layer
All workflows, processes, and system architecture
All branding, trademarks, and documentation
No rights are granted except those expressly stated in these Terms.
Partners may not represent themselves as the creator of the Service.
10. Disclaimer of Warranties
The Service is provided “as is” and “as available.”Automate KC LLC disclaims all warranties, express or implied, including:
fitness for a particular purpose
merchantability
non‑infringement
accuracy of outputs
The Partner acknowledges that the Service relies on End User input and external systems outside Automate KC LLC’s control.
11. Limitation of Liability
To the maximum extent permitted by law:Automate KC LLC is not liable for indirect, incidental, special, consequential, or punitive damages.
Automate KC LLC’s total liability for any claim is limited to the amount paid by the Partner in the 12 months preceding the claim.
This limitation applies regardless of the theory of liability.
12. Indemnification
The Partner agrees to indemnify and hold Automate KC LLC harmless from any claims arising from:misuse of the Service by the Partner or End Users
inaccurate or unlawful End User submissions
violations of these Terms
the Partner’s failure to secure access credentials
disputes between the Partner and End Users
representations or promises made by the Partner to End Users
13. Termination
Automate KC LLC may suspend or terminate access if:the Partner violates these Terms
payment is not received
the Partner or End Users engage in misuse or abuse of the Service
Upon termination, data will be handled according to the DPA.
14. Governing Law
These Terms are governed by the laws of the State of Kansas, without regard to conflict‑of‑law principles.15. Changes to These Terms
We may update these Terms periodically.
Continued use of the Service constitutes acceptance of the updated Terms. -
DATA PROCESSING ADDENDUM (DPA)
Automate KC LLC
Last Updated: 03/23/2026This Data Processing Addendum (“DPA”) forms part of the Terms of Service (“Agreement”) between Automate KC LLC (“Processor,” “Company,” “we,” “us,” or “our”) and the Partner (“Controller,” “Customer,” or “Reseller”).
This DPA governs how Automate KC LLC processes data on behalf of the Partner through the Home Base platform (“Service”).
1. Roles of the Parties
1.1 Controller
The Partner acts as the Controller of all End User data submitted through the Service.1.2 Processor
Automate KC LLC acts as the Processor, processing data solely on behalf of the Partner and in accordance with this DPA.1.3 No Direct Relationship With End Users
Automate KC LLC has no contractual, financial, or support relationship with End Users.
All End User rights, notices, and obligations are the responsibility of the Partner.2. Nature and Purpose of Processing
Automate KC LLC processes data solely to:
Receive End User operational input
Convert input into structured data
Validate data through the logic layer
Route validated data to the Partner’s designated CRM or system of record
Maintain system integrity and security
Provide the Service as described in the Agreement
Automate KC LLC does not:
Sell data
Use data for advertising
Use data for marketing
Train external AI models on Partner or End User data
3. Types of Data Processed
3.1 Partner Data
Business contact information
Billing information
Configuration details
3.2 End User Data
Operational data submitted through the Service, such as:Spoken or typed job updates
Job identifiers
Status changes
Notes, tasks, or instructions
Workflow‑related metadata
3.3 System Metadata
Timestamps
Session identifiers
Validation results
Routing indicators
Automate KC LLC does not intentionally collect sensitive personal data.
4. Processing Instructions
Automate KC LLC will:
Process data only on documented instructions from the Partner
Process data solely to provide the Service
Not process data for any other purpose
Notify the Partner if instructions violate applicable law (to the extent legally permitted)
5. Confidentiality
Automate KC LLC ensures that:
Employees and contractors with access to data are bound by confidentiality obligations
Access is limited to personnel who require it to perform their duties
6. Security Measures
Automate KC LLC implements administrative, technical, and organizational measures designed to protect data, including:
Access controls
Encryption in transit
Segmented processing
Strict validation logic
Monitoring and logging
Specific security configurations are not disclosed to avoid exposing system architecture.
7. Sub‑Processors
7.1 Authorization
The Partner authorizes Automate KC LLC to use sub‑processors for:Hosting
Infrastructure
Logging
Monitoring
Security
7.2 Requirements
Automate KC LLC ensures that sub‑processors:Are bound by written agreements
Provide adequate data protection
Process data only for the purposes of providing services to Automate KC LLC
A current list of sub‑processors is available upon request.
8. Data Subject Rights
Because Automate KC LLC has no direct relationship with End Users:
The Partner is responsible for handling all End User requests (access, correction, deletion, etc.)
Automate KC LLC will assist the Partner as required by law
Automate KC LLC will not respond directly to End Users.
9. Data Breach Notification
In the event of a confirmed data breach affecting Partner or End User data, Automate KC LLC will:
Notify the Partner without undue delay
Provide available information about the breach
Cooperate with the Partner to meet applicable legal obligations
The Partner is responsible for notifying End Users and regulators unless otherwise required by law.
10. Data Retention and Deletion
Upon termination of the Agreement:
Automate KC LLC will delete or return Partner data upon written request
Residual copies may remain in backups for a limited period as part of standard retention policies
Backups are securely protected and eventually overwritten
11. International Transfers
If data is transferred across borders, Automate KC LLC will implement appropriate safeguards as required by applicable law.
12. Partner Responsibilities
The Partner is solely responsible for:
Providing required notices to End Users
Obtaining any necessary consents
Ensuring lawful processing of End User data
Managing End User access and permissions
Handling End User data requests
Ensuring End User compliance with this DPA
Automate KC LLC is not responsible for Partner or End User misuse of the Service.
13. Limitation of Liability
Liability under this DPA is subject to the limitations set forth in the Agreement.
Automate KC LLC’s total liability is limited to the amount paid by the Partner in the 12 months preceding the claim.14. Term and Termination
This DPA remains in effect as long as Automate KC LLC processes data on behalf of the Partner.
Upon termination:
Data will be handled according to Section 10
Obligations that by nature should survive termination will continue to apply

This Privacy Policy describes how we collect, use, store, and protect information processed through the Service.
By accessing or using the Service, the Partner agrees to this Privacy Policy.
Automate KC LLC has no direct relationship with End Users. All End User interactions with the Service occur under the Partner’s control and responsibility.

We use Partner and End User information solely to:
Provide and operate the Service
Convert End User input into structured data
Validate information through the logic layer
Route validated data to the Partner’s designated CRM or system of record
Maintain security and system integrity
Improve reliability and performance
We do not use Partner or End User data for:
Advertising
Marketing
Selling to third parties
Training external AI models
3. How Information Is Shared
We may share information only in the following circumstances:
3.1 With the Partner
End User data is processed on behalf of the Partner and delivered to the Partner’s designated systems.3.2 With Service Providers
We may use third‑party vendors to support:Hosting
Security
Infrastructure
Logging
System monitoring
Vendors are contractually required to protect data and may not use it for any purpose other than providing services to Automate KC LLC.
3.3 Legal Requirements

4. Partner Responsibilities
Because Automate KC LLC provides the Service to the Partner, the Partner is responsible for:

Handling End User data requests (access, correction, deletion)
Automate KC LLC will assist the Partner with data requests as required by law.
5. Data Security
We implement administrative, technical, and organizational measures designed to protect data, including:

Monitoring and logging
We do not disclose specific security configurations to avoid exposing system architecture.
No system is completely secure, but we take commercially reasonable steps to protect data.
6. Data Retention
We retain data only as long as necessary to:

Resolve disputes
Enforce agreements
Upon termination of the Partner’s account, data will be handled according to the Data Processing Addendum (DPA).
7. Data Processing Addendum (DPA)

The DPA governs how we process data on behalf of the Partner.

ACCEPTABLE USE POLICY (AUP)

Use of the Home Base platform (“Service”) is subject to the rules below.
Violation of this AUP may result in immediate suspension or termination of access.1. Prohibited Activities
Neither the Partner nor End Users may use the Service to:
1.1 Engage in Illegal Activity
Any unlawful, fraudulent, or deceptive behavior
Violations of local, state, federal, or international laws
1.2 Interfere With or Disrupt the Service
Attempt to bypass, disable, or interfere with the validation logic
Introduce malware, scripts, bots, or automated tools
Attempt to overload, stress test, or probe the system
1.3 Access Unauthorized Data
Access or attempt to access another Partner’s or End User’s data
Attempt to extract, scrape, or harvest information not intended for them
1.4 Reverse Engineer or Derive System Logic
Reverse engineer, decompile, or attempt to extract the underlying logic
Attempt to map or expose any part of the Service’s infrastructure
Attempt to replicate or clone the Service
1.5 Submit Harmful or Abusive Content
False, misleading, or fraudulent operational data
Content intended to manipulate or break workflows
Content that violates privacy or confidentiality obligations
1.6 Misrepresent the Service
Claim to be Automate KC LLC
Make promises, guarantees, or representations on our behalf
Market the Service in a misleading or deceptive manner
2. Partner Responsibilities
The Partner must:
2.1 Enforce This AUP
The Partner is responsible for ensuring all End Users comply with this AUP.2.2 Secure Access
The Partner must:Protect tenant identifiers
Restrict access to authorized personnel
Immediately revoke access for former employees
2.3 Monitor End User Behavior
The Partner is responsible for:All actions taken by End Users
Ensuring End User submissions are truthful and lawful
Preventing misuse or abuse of the Service
2.4 Provide Support to End Users
End Users may not contact Automate KC LLC directly unless otherwise agreed.3. System Integrity and Security
The Partner and End Users may not:
Attempt to interfere with system performance
Attempt to circumvent security measures
Attempt to discover system architecture, endpoints, or internal logic
Use the Service in any manner that risks system stability
Automate KC LLC reserves the right to implement monitoring and protective measures.
4. Enforcement
Automate KC LLC may, at its sole discretion:
Suspend access
Terminate access
Disable specific features
Require corrective action from the Partner

Automate KC LLC is not responsible for any losses resulting from enforcement actions.
5. Changes to This AUP
We may update this AUP periodically.
